COYS Ltd hade per 31a december 2009 cirka 55 000 registrerade kunder.

Förvärvet är ett led i Cherrys strategi att förstärka sin position som en ledande aktör inom spel på land, till havs och på nätet. Cherrys befintliga verksamhet inom nätspel, PlayCherry, kommer organisatoriskt att integreras med den förvärvade verksamheten.

Förvärvet förväntas innebära en ökad omsättning (spelvinster efter bonuskostnader) för Cherryföretagen med ca 150 mkr under 2010 och en ökning av nettovinsten överstigande 30 mkr. Förväntningar för 2010 är baserat på utfall 2009. Förvärvet förväntas även ge en omedelbar positiv påverkan på vinst per aktie.

Köpeskillingen består dels av 50 mkr kontant vid tillträde, dels betalning med aktier i Cherryföretagen AB (Publ) genom en riktad emission till säljarna om 6,8 miljoner aktier, dels 10 mkr i en fördröjd köpeskilling och dels ett resultatbaserat tillägg över 3 år. Ingen av säljarna kommer få mer än 16 procent av röstantalet i Cherry och säljarna tillsammans får maximalt 34 procent av röstantalet i Cherry. Cherry avser att genomföra en företrädesemission i syfte att dels finansiera förvärvet och dels stärka bolaget för kommande expansion. Emissionen är i sin helhet garanterad av Cherrys huvudägare. Cherrys styrelse avser därför att kalla till en extra bolagsstämma inom kort. Förvärvet och övertagandet av rörelsen sker efter genomförd företrädesemission.

Huvudägarna av COYS Ltd, Morten Klein och Lorang Andreassen kommer att vara fortsatt verksamma i den förvärvade verksamheten. Lorang Andreasson och Morten Klein har lång erfarenhet och kunskap om nätspel och har tidigare varit anställda inom Cherry koncernen.
